Accredited investor questionnaires are used to determine whether potential investors meet the suitability requirements of Regulation D of the Securities Act of 1933, which may eliminate the need for the offering or issuance of such securities to be registered with the Securities and Exchange Commission. The document contains questions meant to determine whether a prospective subscriber meets the requirements. A company relies upon the information provided to make the determination of investor suitability for the purpose of offering the company’s securities. Generally, an “accredited investor” is a person whose individual net worth, or joint net worth with that person’s spouse, at the time of his or her purchase exceeds $1,000,000 (excluding the value or his or her residence) or a person who had an individual income in excess of $200,000 in each of the two most recent years or joint income with that person’s spouse in excess of $300,000 in each of those years, and has a reasonable expectation of reaching the same income level in the current year. As an issuer of securities, a company must take reasonable steps to verify if a potential investor can be considered an “accredited investor.” Questions in the document also include basic biographic details such as investor name, date of birth, employer information, and net worth and income questions.
